These Official Rules (“Rules”) govern the Victor + Valor® $100,000 Brand Lift Award — Atlanta (the “Contest”). By entering, each entrant agrees to be bound by these Rules and the decisions of Sponsor and judges, which are final and binding.

1. Sponsor and Administrator
Sponsor/Administrator: Victor + Valor®, a U.S. 501(c)(3) nonprofit organization (the “Sponsor”).

The Military Influencer Conference (“MIC”) is not a sponsor or administrator of this Contest and is in no way responsible for its administration.

2. Contest Summary
Sponsor will award one (1) prize consisting of professional branding and marketing services valued at $100,000 (Approximate Retail Value “ARV”) to an active duty, veteran-owned or military spouse-owned small business located in the Atlanta metro area. This is a skill-based contest; no random drawing will be used.

3. Eligibility
Open only to legal residents of the 50 United States and D.C., 18 years of age or older (or the age of majority in their state of residence, whichever is higher) at time of entry, who are owners (defined below) of a small business that meets all of the following:

Ownership: Majority (51%+) owned and controlled by (a) a U.S. military veteran, or (b) a current/former U.S. uniformed-service spouse. Sponsor may request reasonable documentation to verify eligibility (e.g., redacted DD214, military spouse ID, DEERS documentation, or equivalent).

Location: Primary place of business within the Atlanta–Sandy Springs–Alpharetta, GA MSA (as defined by the U.S. Office of Management and Budget) (“Atlanta Metro”).

Business Status: Properly formed and in good standing in its state of formation and authorized to conduct business in Georgia; has lawful products/services; and is not engaged in activities that are illegal, unsafe, or inconsistent with Sponsor’s mission and values.
Exclusions: Employees, officers, directors, contractors, and agents of Sponsor, judges, MIC, and each of their respective parent and affiliate organizations, and the immediate family/household members of any of the foregoing, are not eligible. Sponsor reserves the right, in its sole discretion, to deem ineligible businesses in categories inconsistent with Sponsor’s mission (including, without limitation, adult content, illegal drugs, tobacco/vape, gambling, payday lending, hate/extremism, political campaigning/lobbying, or unlawful weapons).

4. Contest Period
Entry Period: Begins 12:00:00 a.m. Eastern Time (“ET”) on August 26, 2025 and ends 11:59:59 p.m. ET on September 21, 2025 (“Entry Period”).
Finalists Notification (on/around): September22 2025.
Winner Announcement (on/around): During MIC Atlanta, September 23, 2025 (exact date/time to be provided to finalists). Sponsor may announce the winner live at MIC and/or via digital channels. If the live event cannot occur for any reason, the winner may be announced virtually.

Sponsor’s timekeeping device is the official clock for the Contest.

5. How to Enter (No Purchase Necessary)
During the Entry Period, eligible entrants must complete the online application at [Contest landing page URL] (“Entry”), which will request information such as:

Business name, formation state, and primary address (must be in Atlanta Metro)

Owner’s active duty/ veteran/ military spouse eligibility (with ability to verify)

Website/social handles and contact details

One-sentence value proposition
-
Description of traction/readiness (customers, pilots, pipeline, LOIs, etc.)

The impact the Award would enable (jobs, revenue, community benefit)

Optional: A link to a 60-second founder video pitch
Entry Limits: One (1) Entry per business (including any parent/subsidiary/affiliated entities). Submitting more than one Entry may result in disqualification. Incomplete, illegible, deceptive, or non-compliant Entries may be disqualified.
Content Guidelines: Entry materials must be original to the entrant; must not infringe any third-party rights or contain confidential information or trade secrets; and must be suitable for public display. Do not include personal health, financial account numbers, or other sensitive data. Entrant represents they have all rights and permissions necessary to submit the Entry and to grant the license in Section 11.

6. Judging & Winner Selection
Eligible Entries will be reviewed by a panel of qualified judges selected by Sponsor. Judges will score Entries using the following criteria (collectively, “Judging Criteria”):

The Entry with the highest total score will be deemed the potential winner, subject to verification and compliance with these Rules. In the event of a tie, the Entry with the higher score for Mission & Community Impact will prevail; if still tied, the higher Traction & Readiness score will prevail, and so on.

Odds of winning: Not applicable; this is a skill-based contest.
Sponsor reserves the right to select fewer than the intended number of finalists or no winner if, in Sponsor’s sole discretion, there are not enough qualified Entries.

7. Finalist & Winner Notification
Potential finalists will be notified via email and/or phone on or about September 22, 2025 using the contact information provided in the Entry and may be asked to participate in a live or virtual pitch/interview. The potential winner will be notified on or about September 23, 2025 and publicly announced thereafter.

Required Documentation: The potential winner may be required to sign and return, within five (5) business days of notification: (a) an Affidavit of Eligibility, (b) a Liability/Publicity Release (where legal), (c) an IRS Form W-9 (or equivalent), (d) proof of active duty/ veteran/military spouse status, and (e) proof of business status and Atlanta Metro location. Failure to timely execute/return documents, or if notification is returned as undeliverable, or if the potential winner is deemed ineligible, may result in disqualification and selection of an alternate based on next-highest score.
Attendance at MIC is encouraged but not required to win.

8. Prize (Services; ARV $100,000)
One (1) Award: A professional branding and marketing services package delivered by Sponsor and/or its partners, consisting of elements such as: strategy/positioning; visual identity and guidelines; messaging architecture; website design/build and conversion landing pages; CRM/email setup; social content kit; press/media kit; photo/video production; go-to-market plan; paid/organic campaign setup; biweekly growth sessions (approx. 12 weeks); and quarterly reporting. Specific services, deliverables, staffing, scheduling, and production scope will be defined by Sponsor in a mutually executed Statement of Work (“SOW”) with the winner.

No cash alternative. The Award is services only, non-transferable, and may not be substituted except by Sponsor in its sole discretion.

Scheduling/Cooperation: Winner must reasonably cooperate with discovery, approvals, content capture, and scheduled sessions. Failure to adhere to reasonable timelines may result in forfeiture of undelivered portions of the Award.

Taxes: Winner is solely responsible for any and all federal, state, and local taxes and fees and will receive an IRS Form 1099-MISC for the ARV if required by law.

Fair Market Value: ARV is a good-faith estimate of billable services at standard rates; actual value may vary based on winner’s needs and final scope.

9. Publicity
Except where prohibited, by entering, entrant grants Sponsor and its designees the right to use entrant’s and winner’s name, likeness, voice, business name/logo, city/state, and submitted materials, as well as photographs/video captured during Award performance, for promotional, editorial, and educational purposes in any media now known or later developed, worldwide, without additional compensation or notice.

10. Conduct; Disqualification
Sponsor reserves the right to disqualify any entrant who tampers with the Entry process, violates these Rules, acts in an unsportsmanlike or disruptive manner, or submits content that is unlawful, defamatory, obscene, harassing, or otherwise objectionable.

11. Intellectual Property; License
Entrant retains ownership of original Entry content. By entering, entrant grants Sponsor and its designees a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, modify (for formatting), publish, display, distribute, and create derivative works from the Entry content and any materials created in connection with the Contest and Award for promotional, editorial, educational, and reporting purposes, in all media, without further notice, approval, or compensation.

Entrant represents and warrants that the Entry is original, does not infringe or misappropriate any third-party rights, that entrant has obtained all permissions necessary for Sponsor to use the Entry as set forth here, and that the Entry complies with all applicable laws.

12. Privacy
Information collected from entrants is subject to Sponsor’s Privacy Policy available at Privacy Policy and will be used for Contest administration and as otherwise described in these Rules.

13. Release; Limitations of Liability
By participating, entrant (and, for the winner, winner’s business) releases and holds harmless Sponsor, MIC, judges, vendors, partners, and each of their respective parents, affiliates, officers, directors, employees, and agents (collectively, “Released Parties”) from and against any liability, claims, or causes of action arising out of participation in the Contest or receipt, use, or misuse of the Award, including (without limitation) personal injury, death, or damage to or loss of property.

Released Parties are not responsible for: (a) incorrect or inaccurate information; (b) technical failures; (c) unauthorized human intervention; (d) lost, late, misdirected, or undeliverable communications; or (e) any injury or damage to persons or property arising from participation or Award use.

IN NO EVENT WILL SPONSOR BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Right to Cancel, Modify, or Disqualify
If the Contest cannot be conducted as planned for any reason (including fraud, technical failures, force majeure, or any cause beyond Sponsor’s reasonable control), Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Contest or any part of it, or to select the winner from among all eligible, non-suspect Entries received prior to the action taken.

15. Disputes; Governing Law; Arbitration; Class Action Waiver
Except where prohibited, entrants agree that: (a) all disputes, claims, and causes of action arising out of or connected with this Contest or any Award shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules; (b) any arbitration shall take place in Fulton County, Georgia; (c) these Rules and the Contest are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred (if any), but in no event attorneys’ fees.

16. Winner’s List; Rules Request
For the name of the winner (available after announcement) or a copy of these Rules, send a self-addressed, stamped envelope to: Victor + Valor® — Atlanta Award (Winners/Rules Request), info@victorvalor.org Requests must be received by November 15, 2025. The winner’s name may also be posted on the Contest site.

17. Miscellaneous

If any provision of these Rules is found unenforceable, the remaining provisions shall remain in full force.

Sponsor’s failure to enforce any term shall not constitute a waiver.
